Terms of Use

These Terms of Use ("Terms") govern your use of the AI Readiness Assessment at assessment.kovac.ai (the "Assessment"), provided by Kovac Digital LLC, doing business as kovac.ai ("kovac.ai," "we," "us"). By using the Assessment, you agree to these Terms and to our Privacy Policy. If you use the Assessment on behalf of an organization, you confirm that you are authorized to do so.

1. The Assessment.

The Assessment lets you answer questions about your organization's AI readiness and receive scores, an analysis and recommendations. Some versions or reports may be offered for a fee. Purchases are governed by our Terms of Sale, which form part of these Terms.

2. General guidance, not professional advice.

Results, analyses, recommendations, templates and other materials are general guidance based on the answers you provide. They are not legal, financial, tax, compliance, security or technical advice, and they do not create a consulting or advisory relationship. You are responsible for your decisions. Review any policy or template with your own advisers before you adopt it. Scores and peer comparisons are estimates and may change as our methods and data improve.

3. Your information.

You agree to provide accurate information and to answer for an organization only if you are authorized to share that information. You keep ownership of your answers. You give us permission to use them to provide the Assessment to you and, in aggregate and anonymous form that does not identify you or your organization, to create benchmarks, research and content. How we handle personal information is described in our Privacy Policy.

4. Acceptable use.

You agree not to:

• submit false information on behalf of another person or organization;
• use bots, scripts or other automated means to submit or scrape the Assessment;
• attempt to bypass security, rate limits or spam protection;
• interfere with or disrupt the service;
• copy or reverse engineer the questions, scoring or reports to build a competing product;
• or use the Assessment for any unlawful purpose.

5. Our content.

The questions, scoring method, AI Readiness Matrix, reports, templates, text and design of the Assessment are owned by kovac.ai and protected by intellectual property laws. You may use your own results and reports for your personal or internal business purposes, and share them within your organization and with your advisers. You may not resell, republish or distribute our materials as your own product or service without our written permission.

6. Share pages.

If you create a public share page, anyone with the link can view it. You can ask us to remove it at any time, and we may remove share pages at our discretion.

7. Changes and availability.

We may change, add or remove features, versions, questions or prices, and we may suspend or end the Assessment at any time. We do not guarantee that the Assessment will be available without interruption or free of errors.

8. Disclaimer.

The Assessment and all materials are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent allowed by law.

9. Limitation of liability.

To the fullest extent allowed by law, kovac.ai will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Assessment. Our total liability for any claim relating to the Assessment will not exceed the greater of the amount you paid us for the Assessment in the 12 months before the claim or $100.

10. Indemnity.

You agree to indemnify and hold kovac.ai harmless from claims arising from your misuse of the Assessment or your violation of these Terms.

11. Governing law.

These Terms are governed by the laws of the State of Kansas, without regard to conflict of law rules. Any dispute will be resolved in the state or federal courts located in Kansas, and you consent to their jurisdiction.

12. Changes to these Terms.

We may update these Terms from time to time. When we do, we will change the "Last updated" date above. Continuing to use the Assessment after an update means you accept the updated Terms.
